DATE: 13TH TO 17TH OCTOBER 2025
TIME: 09.00am-03.30pm

OVERVIEW

Governance and ethics stand as the indispensable cornerstone of institutional trust and accountability, forming the very foundation for sustainable development and organizational resilience in both public and private sectors. Good governance, particularly within the Kenyan context, is firmly rooted in constitutional principles and regulatory frameworks like the Public Finance Management Act. This framework, complemented by strong ethical leadership, is crucial for fostering transparency, fairness, and responsible stewardship of resources. When leadership sets a clear ethical tone from the top, it permeates the entire organizational culture, reinforcing public confidence and ensuring compliance with professional codes of conduct.

A critical pillar of sound governance involves the proactive identification and management of risks, coupled with the institutionalization of ethical behavior. This necessitates addressing both traditional risks, such as fraud and misreporting, and emerging digital vulnerabilities through robust internal controls, diligent documentation, and clear accountability channels. Cultivating a “speak-up” culture, reinforced by confidential whistleblowing systems and anti-retaliation protections, is paramount. This enables the early detection of misconduct, ensures that ethical concerns are promptly addressed, and aligns with the high ethical standards promoted by ICPAK.

Effective governance extends beyond mere compliance, deeply integrating with the strategic functions of the board and stakeholder engagement. A well-functioning board fosters a culture of transparency and clear communication, with board members and management working collaboratively while adhering to their fiduciary duties. This includes strategic oversight, robust risk governance, and the integration of ESG (Environmental, Social, Governance) factors into long-term planning. Transparent stakeholder engagement, often through sustainability and ESG reporting, is crucial for building trust and ensuring that governance remains rooted in accountability and dialogue.

In an era of increasing regulatory demands and rapid digital transformation, embedding ethics into strategic planning and governance frameworks is no longer optional but essential. This commitment translates into robust accountability and transparency across all operations, from ethical financial reporting to proactive crisis management guided by integrity. Organizations must navigate the ethical implications of automation, data privacy, and Artificial Intelligence, ensuring that technology aligns with core values and enhances oversight. The role of boards and management in ethically driving the automation agenda is critical to leveraging these advancements responsibly.

The dynamic landscape of governance and ethics demands continuous adaptation and foresight from organizations. As institutions strive for growth and resilience amidst economic uncertainty and evolving stakeholder demands, they are held to higher standards of accountability and ethical conduct. Contemporary challenges like weak oversight, conflicts of interest, and regulatory non-compliance underscore the need for adaptive governance systems. The ICPAK Annual Governance and Ethics Forum provides a vital platform for professionals to align with the best global practices, ensuring that governance systems are not only compliant but also ethical, adaptive, and future-ready, capable of delivering long-term value in a fast-changing world. This training will cover the following topics:
