ICPAK 47TH ANNUAL GENERAL MEETING Physical Attendance

Notice is hereby given that the 47^TH ANNUAL GENERAL MEETING of the INSTITUTE OF CERTIFIED PUBLIC ACCOUNTANTS OF KENYA will be held both virtually and physically at SAFARI PARK HOTEL NAIROBI, on Friday, 27^th June 2025, at 10:00 a.m. to transact the following business:

1. To table the proxies received*
2. To note apologies received and confirm if a quorum is present.
3. To read the Notice convening the meeting.
4. To consider and adopt the minutes of the 46^th Annual General Meeting held on 7^th June 2024 and to consider matters arising therefrom.
5. To receive, consider and adopt the Council’s Report for the year ended 31^st December 2024.
6. To receive, consider and adopt the Annual Report and Audited Financial Statements of the Institute for the year ended 31^st December 2024 together with the Auditor’s Report thereon.
7. To consider and re-appoint Messrs. Mazars LLP, as the Independent Auditors of the Institute for the financial year ending 31^st December 2025, being eligible and having expressed their willingness to continue in office and to authorize the Council to fix their remuneration.
8. To present the elected Council Members in accordance with Paragraph 5(1)(b)(iii) of the First Schedule of the Accountants Act, No.15 of 2008.
9. To consider Any Other Business (A.O.B) for which due notice has been received seven (7) days before the Annual General Meeting. Such notification should be received by the Secretary to the Council not later than Friday, 30^th May 2025 at 10:00 a.m. through ceo@icpak.com  or a hard copy addressed to the Secretary to the Council and delivered to CPA Centre, 9th Floor, Thika Road, Nairobi.

*The First Schedule to the Accountants Act, No. 15 of 2008, Paragraphs 11(3) and (4), provides that a member entitled to attend and vote at the Annual General Meeting and who is unable to do so is entitled to appoint a proxy to attend and vote on their behalf.

To be valid, a proxy form must be duly completed and signed by the member and delivered to the Secretary to the Council no later than 4.00 pm on Tuesday, 3rd June 2024 at CPA Centre, 9^th Floor, Thika Road, Nairobi or through ceo@icpak.com
